Affiliate Terms and Conditions

Introduction

Welcome to the CryptoCasino Partners Affiliate Program (the "Program"), managed by Armchair Gaming B.V., headquartered at Abraham De Veerstraat 9, Curaçao. In these Terms and Conditions ("Terms" or "T&Cs"), we refer to ourselves as "CryptoCasino," "we," "us," or "the Company."

These Terms represent a binding agreement between you and Armchair Gaming B.V., governing your participation in the Program. By joining, you agree to abide by the latest version of these Terms, which will always be accessible on our Program website at cryptocasinopartners.com. We reserve the right to amend, remove, or add provisions to this agreement at any time, and you are responsible for reviewing the latest Terms. Your ongoing participation indicates your acceptance of any updates, including adherence to our Advertising Guidelines, Privacy Policy, and Data Processing Agreement. Should you disagree with any changes, your only option is to discontinue your participation in the Program.

Definitions

  • Affiliate: An individual or legal entity registered and approved as a member of the Program. These Terms may also refer to the Affiliate as "you."
  • Affiliate Account: A tracking and reporting system provided by CryptoCasinoPartners (CCP) that enables affiliates to monitor performance, access marketing resources, and generate reports.
  • Affiliate Channels: Any digital platform or traffic source, including but not limited to websites, blogs, social media accounts, mobile apps, email marketing, pay-per-click (PPC) campaigns, video content, and any other online or offline channels owned, operated, or managed by the Affiliate for the purpose of directing traffic to CryptoCasino.com in compliance with these Terms.
  • Affiliate Agreement: The contract between the Company and the Affiliate, comprising these Terms and Conditions as well as any appendices.
  • Affiliate ID: A tracking identifier obtained from the Affiliate Account for monitoring customer referrals.
  • Affiliate Links: Internet hyperlinks used by the Affiliate to link from the Affiliate Channels or any other third party website to CryptoCasino.com.
  • Affiliate Program: Refers to the Program operated by CryptoCasino Partners (CCP), as outlined in this Agreement.
  • Affiliate Wallet: An online wallet in the name of the Affiliate into which Company pays the commission and any other payments due to the Affiliate, which the Affiliate can withdraw in accordance with the Affiliate Agreement.
  • Approved Marketing Activities: Any lawful promotional activities conducted in line with these Terms and approved by a CCP representative in writing.
  • Chargeback: A reversal of payment triggered by a customer, a credit card-issuing bank, or another third-party payment provider.
  • Commission: The earnings accrued from affiliate marketing activities, in accordance with these Terms.
  • Commission Structures: Any specific reward structures expressly agreed between Company and the Affiliate.
  • Company: Armchair Gaming B.V. and any other company within our group of, including our parent companies, their parent companies and all the subsidiaries of these respective companies.
  • Company Websites: The website www.cryptocasinopartners.com or other such websites (including mirror websites) as may be added to this Affiliate Program from time to time.
  • Confidential Information: Information of commercial or essential value related to the Company, which may include, but not limited to, business or financial data, trade secrets, know-how, prices and custom quotes, products, strategies, processes, reports, databases, commission statements, and any other proprietary information, including information specifically labelled as confidential by any authorized CCP representative.
  • Marketing Materials: Includes promotional assets like banners, tracking links, and graphics provided by the Company, along with any CryptoCasino trademarks or intellectual property used in compliance with the Agreement.
  • Financial Deductions: Applicable Taxes include any levied fees such as VAT or gaming taxes. Deductable Costs refer to third-party expenses like payment processing charges, royalties, and other operational costs subtracted from revenue.
  • FTD (First Time Depositor): A new player account on CryptoCasino that has registered and made an initial deposit, either directly or through an affiliate tracking link.
  • Fraud/Fraudulent Activity: Any deliberate act or omission that the Company deems to secure an unfair or illegal advantage. This includes, but is not limited to, fraudulent credit card transactions, chargebacks, match betting, fake or automated account creation, collusion, or cheating by an Affiliate or customer(s).
  • Fraud Costs: Expenses, losses, or damages incurred directly or indirectly due to Fraud or Fraudulent Activity.
  • General Terms and Conditions: The standard terms and conditions of CryptoCasino.com.
  • Gross Gaming Revenue (GGR): The total revenue generated across all products from bets or wagers placed by a referred FTD, minus any payouts or winnings.
  • Incentivized Traffic: Traffic generated through offering a reward or incentive for actions on CryptoCasino.com, including registering a new account, making deposits, or placing wagers.
  • Intellectual Property Rights: Any copyrights, trademarks, service marks, domain names, brands, business names, and registrations of the aforesaid and/or any other similar rights of this nature.
  • Match Betting/Arbitrage Betting: A wagering method intended to guarantee players a win without risk, such as using free bets.
  • Master Affiliate: An approved CCP affiliate who recruits new affiliate partners (sub-affiliates) to the CCP Affiliate Program via a master affiliate link.
  • Net Gaming Revenue (NGR): The Gaming Revenue remaining after deducting expenses, including but not limited to, admin fees, bonuses, cashback, rewards, transaction fees, fraud costs, chargebacks, taxes, and third-party commissions.
  • Non-Cash Items: The value of free credits or other gifts provided to customers as direct costs.
  • Parties: Company and the Affiliate (each a “Party”).
  • Privacy Policy: CCP’s guidelines for data privacy.
  • Progressive Contributions: Revenue contributed to a progressive jackpot pool when members play progressive games on CryptoCasino.com.
  • Prohibited or Unsuitable Site(s): Any online platform, including but not limited to website(s), social media channels, forums, or other digital media, where gambling advertisements are unlawful, prohibited, or deemed inappropriate. This includes platforms that target minors or individuals below the legal age, display explicit content, promote violence, discrimination, or illegal activities, as well as those that violate intellectual property rights or fail to comply with applicable advertising standards.
  • Spam: Any unsolicited message, email, SMS, or similar communication sent broadly and indiscriminately to multiple recipients.
  • Sub-Affiliates: Any individual or entity that joins the Program using a sub-affiliate tracking link provided by a Master Affiliate.

1. Affiliate Acceptance,Participation, and Use of Marketing Materials

1.1 To join the CCP Program, you must first submit a completed application on the CCP website: cryptocasinopartners.com. By applying, you confirm that:

a) The information in your application is accurate, and you will update it as needed to keep it current.

b) You have not previously registered as an Affiliate with CCP; only one account is allowed per individual unless otherwise authorized in writing by CCP.

c) You are of legal age in your jurisdiction to enter into a binding agreement and are not aware of any legal, commercial, or other restrictions that would prevent your participationunder these Terms. If applying on behalf of a company, you confirm that you have the authority to enter into this Agreement on the company’s behalf.

d) You fully understand and accept the Agreement’s terms.

1.2 The Affiliate Program is intended for your direct participation. Opening an Affiliate Account for a third party, brokering, or transferring an Affiliate Account is strictly prohibited. If you wish to transfer your account to another beneficial owner, you must request permission from the Company in writing. Additionally, you may not open more than one Affiliate Account without prior written consent.

1.3 By agreeing to participate in the Affiliate Program, you commit to use your best efforts to actively advertise, market, and promote the Company Websites in accordance with the Agreement and the Company’s instructions. You must ensure that all activities align with the Company’s best interests and do not harm its reputation or goodwill.

1.4 You are authorized to use only the Affiliate Links and approved marketing materials provided through your CCP account to promote the Company Websites. Any unauthorized use or alteration of these materials without prior written consent is strictly prohibited.

1.5 Marketing materials will be accessible through your affiliate account and may be updated periodically. You agree to use only the most current versions and to discontinue any outdated content. It is your responsibility to regularly check the platform for updates and comply with any specific restrictions on the materials, such as campaign dates or audience demographics.

1.6 The Company reserves the right to reject any application at its sole discretion. All decisions are final and not subject to appeal. You will be notified via email of your application status. Applications are processed within seven business days; if not approved within this period, they will be considered declined.

1.7 You must ensure that the information provided during registration is accurate and kept up to date. You may be required to submit documentation for verification, including, but not limited to, bank statements, identity papers, or proof of address.

1.8 You are responsible formaintaining the confidentiality and security of your Affiliate Account login details. Any unauthorized use resulting from your failure to safeguard your credentials is your sole responsibility. You will be held liable for all activities conducted under your account. If you suspect any illegal or unauthorized use, you must notify usimmediately.

1.9 If any changes occur that render your previously provided information inaccurate or affect your ability to meet your obligations under these Terms, you must promptly inform your CCP account manager. The Company reserves the right to terminate your participation immediately without further payment obligations if necessary.

1.10 Your marketing activities must always be professional, lawful, and in full compliance with this Agreement.

2. Links and Tracking

2.1 You are required to use the Tracking Links provided in your Affiliate Account. Only customers correctly tagged with your Affiliate ID will be eligible for credit and commission.

2.2 The Company’s statistics and calculations for tracking customer activities and determining commissions will be considered final.

2.3 We will make reasonable efforts to provide you with access to updated reports on customer activities linked to your Affiliate ID via your affiliate account. The format, content, and frequency of these reports may vary over time.

3. Your Responsibilities and Obligations

3.1 You agree to actively and effectively market, advertise, and promote CryptoCasino.com using ethical and professional standards. All marketing content must comply with legal requirements, avoid defamatory, discriminatory, obscene, or otherwise inappropriate material, and must not feature sexually explicit, pornographic, or graphically violent content. Your promotional activities must safeguard CryptoCasino’s reputation and goodwill at all times.

3.2 You are responsible for all costs and expenses associated with your marketing activities, including the development, operation, and upkeep of your Affiliate Channels and any content displayed on them. You may only use official CryptoCasino logos and materials provided in the Affiliate Account, and your site must not imitate the look and feel of CryptoCasino’s site in a way that could confuse users.

3.3 You must not target individuals under the legal gambling age or jurisdictions where gambling is restricted or prohibited by law. It is your responsibility to understand and comply with age and jurisdictional restrictions in each area where you conduct marketing activities. Any conduct that jeopardizes CryptoCasino’s gaming licenses or regulatory approvals is strictly prohibited.

3.4 You agree to indemnify CryptoCasino against any legal claims, damages, or losses arising from your actions, including content that infringes on intellectual property rights or violates applicable laws. This includes any misleading or deceptive marketing practices or the use of defamatory, offensive, or objectionable content.

3.5 Without prior written approval from CryptoCasino, you may not offer or provide any unauthorized incentives to potential customers, such as rakeback, cashback, or bonus schemes, except for standard promotions made available by CryptoCasino to affiliates.

3.6 You agree to promptly comply with any requests from CryptoCasino regarding the removal or modification of distributed materials or specific marketing activities. Additionally, you will provide any necessary information or documentation for compliance verification, including KYC checks, as required by CryptoCasino.

3.7 Any breach of these responsibilities may result in immediate removal from the Affiliate Program and make you liable for damages.

4. Spam, Fraud, and Fraudulent Marketing

4.1 You agree not to direct traffic to CryptoCasino.com through any illegal, fraudulent, or deceptive activities. This includes self-registration, making deposits through your own tracked links, or engaging in any actions to artificially increase your commission. Such violations may lead to the closure of your account and the forfeiture of all funds.

4.2 You must not send any marketing communications (e.g., SMS, emails, or other messages) relating to CryptoCasino without our prior written consent. To obtain approval, you must provide us with:

a) Written confirmation that all communication for the proposed campaign will include an option to opt-out from future messages.

b) Confirmation that all recipients have given consent (i.e., opted in) to receive these communications and have not subsequently opted out.

Any costs incurred by CryptoCasino due to spam sent by you or on your behalf may be deducted from your commissions. If insufficient funds exist, CryptoCasino reserves the right to recover these costs from future commissions or directly from you if your account is inactive. 4.3 You may not use CryptoCasino’s trademarks, logos, or intellectual property without explicit written authorization. This includes purchasing domains that contain similar names or phrases, bidding on branded keywords, or presenting your website and marketing channels in a way that suggests ownership or partial ownership by CryptoCasino. If requested, you must transfer ownership of any violating domains to CryptoCasino, even after the Agreement has ended.

4.4 Your marketing activities must not suggest ownership of CryptoCasino’s platforms or mislead users. This includes any social media platforms (e.g., Instagram, Facebook, Twitter, Telegram, TikTok, YouTube, Discord) or similar channels.

5. Legal Compliance

5.1 CryptoCasino operates under licences issued by the Curaçao and Anjouan Gaming Authorities, adhering to regulatory principles, including preventing gambling-related criminal activity, ensuring fairness and transparency, and protecting minors and vulnerable individuals from exploitation.

5.2 By participating in the Affiliate Program, you agree to:

a) Comply at all times with the above licensing objectives and promptly provide written proof of compliance upon request from CryptoCasino.

b) Set up and maintain all necessary processes to monitor compliance with these objectives, and upon request, provide evidence of these processes.

c) Regularly review and update your compliance procedures as needed to meet regulatory standards.

5.3 Occasionally, CryptoCasino may receive requests for information from regulatory authorities or other gambling bodies. Upon receiving such requests, CryptoCasino may notify you and ask for any information needed to fulfil the request. You agree to promptly provide this information or assist CryptoCasino in gathering it.

5.4 You agree to observe all laws, regulations, and directives concerning the use of cookies, personal data processing, storage, and transfer. All electronic messages or communications sent by you must comply with the applicable regulations, including the Data Protection Act 2018, Privacy and Electronic Communications Regulations (PECR) 2003, and the General Data Protection Regulation (GDPR) 2016/679. You must ensure that all communications, including electronic messages, comply with these regulations and that you stay up to date with any relevant legal requirements.

6. Our Responsibilities and Obligations

6.1 The Company will provide you with access to the affiliate platform, including marketing materials, unique tracking links, and necessary tools for promoting CryptoCasino. We will assign a unique tracking ID to all customers referred through your links, calculate the Net Gaming Revenue generated from these referrals, and provide regular reports on your commission earnings. Additionally, we will manage all customer support related to CryptoCasino’s operations.

6.2 The Company will pay you commission based on the agreed commission structure assigned to your account, contingent upon the traffic and referrals you generate. Payments will be made in accordance with the terms outlined in this Agreement.6.3 We reserve the right to freeze or close any affiliate account if necessary to protect the Company’s interests. This includes, but not limited to:

a) Temporarily blocking your account and withhold payments if we suspect a breach of the Terms. If a breach is confirmed, we may withhold all commission indefinitely.

b) Closing your account if we believe doing so is required to protect our policies, the Company’s website, or its operations. We may also take legal action if required.

c) Terminating your account if you verbally or physically threaten any CryptoCasino staff member. The Company maintains a zero-tolerance policy on abuse and will not be liable for any loss or damage resulting from such actions.

d) Conduct internal investigations on any affiliate or player account related to CCP or CryptoCasino, as deemed necessary by the Company.

7. CryptoCasino's Intellectual Property Rights

7.1 CryptoCasino retains exclusive ownership of its websites (CryptoCasino and CryptoCasinoPartners), trademarks, content, reports, documentation, materials provided for the Program, and all associated intellectual property rights. Affiliates are granted a limited, non-exclusive, non-transferable license to use the marketing materials strictly as specified in this Agreement. All other rights remain reserved by CryptoCasino and its licensors, and you acknowledge that no ownership rights are transferred or implied under these Terms.

8. Prohibited Territories

8.1 By agreeing to these Terms, you confirm that you will not actively target or direct any marketing efforts, including direct communication, advertising, banners, or other promotional activities, towards potential customers located in restricted or prohibited regions. You acknowledge that any activity linked to customers from these regions will not qualify for commission or fees.

8.2 You agree to defend, indemnify, and hold CryptoCasino, including its directors, officers, employees, and representatives, harmless from any liabilities, losses, or expenses, including legal fees, arising from or related to breaches of this clause. You further agree to cooperate with CryptoCasino in providing any information requested by relevant authorities if needed.

9. Commission Calculations

9.1 You are eligible to earn commission based on the gambling activities of customers referred by you, as outlined in these Terms. If your participation in the Program is terminated, commission payments will cease.

9.2 Your commission will be based on the monthly Net Gaming Revenue (NGR) generated by the customers you refer, as follows:

  • Less than €5,000: 25%
  • €5,000 to €20,000: 30%
  • €20,000 to €50,000: 35%
  • €50,000 to €250,000: 40%
  • Over €250,000: 40% plus VIP status benefits

9.3 If your reward plan is structured differently from the above (such as Cost Per Acquisition (CPA) or a Hybrid plan), the commission details will be defined in a separate agreement. The Company reserves the right to withhold CPA payments for player accounts suspended or closed due to fraud, self-exclusion, or other violations of the Program’s Terms.

10. General Commission Terms

10.1 If we run special promotions involving specific products, services, games, customer activities, or events, and you choose to participate, you agree that your participation is subject to any special terms related to that promotion.

10.2 All commission calculations are based on our internal data and may include information from third-party sources. We strive to ensure accurate tracking, calculation, and payment of commissions, while retaining the right to adjust as needed. To maintain the integrity and security of the CryptoCasino site, we may occasionally need to take actions such as limiting new customer accounts, temporarily suspending or closing existing accounts, or withholding commission payments when necessary.

10.3 Commissions will not be paid for customers who already have an existing account with us before signing up through your links. Any duplicate accounts identified for a single customer will be removed, and no commissions will be paid on these accounts. If a customer’s account is suspended or closed due to a violation of our Terms or other reasons, commissions related to that account will be forfeited.

11. Payment Terms

11.1 We aim to process and pay the commissions earned in the previous calendar month by the 15th of the following month.

11.2 While we strive for timely payments, we cannot be liable for any delays in payments due to technical issues, third-party delays, or unforeseen events beyond our control.

11.3 All NGR calculations will be conducted in EUR. For transactions in other currencies, an exchange rate adjustment into EUR will apply, and this conversion rate may affect your final commission.

11.4 Commission payments will be processed using the payment method you selected during registration, in one of the available currencies or cryptocurrencies. For payments in non-EUR currencies, a fair market exchange rate adjustment will apply.

11.5 To qualify for payment, your account balance must meet a minimum threshold of €100 (or equivalent in another accepted currency or cryptocurrency). Any transaction fees for commission payments will be deducted from your payout.

11.6 To ensure smooth processing, please update your payment details no later than 5 working days before the end of the month. Changes made within the 5-day window may not be processed in time.

11.7 You are responsible for reporting and paying any taxes, tariffs, or other government charges on commissions you earn. All commissions payable to you are exclusive of taxes, and you agree to reimburse CryptoCasino for any such taxes paid on your behalf, except for taxes on the Company's net income.

11.8 We may adjust the commission payment schedules and calculation methods when necessary.

12. Unclaimed Commissions

12.1 If the commission balance in your account remains unclaimed for over twelve months ("Unclaimed Commission") we may reach out to remind you about the unclaimed commission. If we don’t receive a response and the balance continues to be unclaimed, we reserve the right to clear the balance from your account. Additionally, we may adjust the deal on the account to 10% Revenue Share on NGR for future earnings until activity resumes.

12.2 If, after the removal of Unclaimed Commission, you can prove extenuating circumstances that prevented you from withdrawing your funds, you may reach out to us for review. CryptoCasino may, at its sole discretion, restore the balance of your account. If restored, you must withdraw these funds within two months. Should you fail to do so, the commission will be permanently removed, and no further claims will be entertained.

13. Negative Carry-Over

13.1 If the total NGR from your referred customers is negative for a given month, this negative balance will not carry over to the next month, subject to the high-roller policy outlined below.

14. High-Roller Policy

14.1 Ifa customer referred by you generates a negative NGR of at least €10,000 in a given month, they will be considered a "High-Roller" for the purposes of this policy. If the aggregate NGR for that month is negative due to the activity of this High-Roller, the High-Roller policy will apply.

14.2 The negative NGR generated by the High-Roller will be carried forward and offset against any future positive NGR generated by that same High-Roller.

14.3 This negative balance will only be offset against revenue generated by the High-Roller themselves and cannot be applied to NGR from other customers.

14.4 The carried-forward negative balance will not exceed the total negative NGR for your affiliate account in that month when the High-Roller’s losses occurred.

14.5 The High-Roller’s negative balance will be reduced by any future positive NGR they generate in subsequent months.

15. Sub-Affiliates

15.1 A Sub-Affiliate is an affiliate you have referred to the Program using your Sub-Affiliate tracking link, and they must meet the same eligibility criteria as any other Affiliate. As the Master Affiliate, you are responsible for ensuring that Sub-Affiliates complete the registration process correctly: failure to do so may result in the Sub-Affiliate not being linked to your account.

15.2 The commission you earn on the earnings generated by each Sub-Affiliate will be determined on a case-by-case basis. The Company reserves the right to review and adjust this rate as needed, based on individual agreements and program terms.

15.3 The Company reserves the right to investigate any Sub-Affiliate referred by you if there are suspicions of fraudulent or inappropriate activity. If any Sub-Affiliate is found to be involved in fraud, Spam, or other breaches of the Agreement, the Company may withhold all related commission payments and take necessary actions, including suspending, freezing, or confiscating the Sub-Affiliate’s account.

15.4 Sub-Affiliates are bound by the terms and conditions of the Agreement, and you, as the Master Affiliate, are responsible for their adherence to these obligations and for handling any disputes or communication with them directly. The Company will not be involved in resolving disputes between you and your Sub-Affiliates.

15.5 You, your employees, or immediate family members cannot register as Sub-Affiliates under your own Master Affiliate account. If the Company suspects this to be the case, we reserve the right to withhold all commissions due to both the Master Affiliate and Sub-Affiliate accounts and to suspend, freeze, or confiscate these accounts if deemed necessary.

16. Ownership of Customer Data

16.1 You acknowledge and agree that all data related to any customer referred by you is exclusively owned by CryptoCasino. You have no rights to use this data outside of information you may gather independently and separately from your participation in the Program.

17. Confidentiality

17.1 You agree to treat all Confidential Information and personal data related to the Company’s customers as strictly confidential. This information must not be used for any commercial or personal purposes or disclosed to any third party, directly or indirectly, without prior written consent from the Company. You are also required to take all reasonable measures to safeguard the confidentiality of this information, using it solely to fulfill your obligations under this Agreement. This confidentiality obligation remains in effect even after the termination of the Agreement.

18. Anti-Money Laundering

18.1 You agree to comply with all applicable laws and regulations related to anti-corruption, anti-money laundering, and bribery, including those under the UK Bribery Act 2010 and any similar laws in relevant jurisdictions. This includes prohibiting any form of bribe or inducement and maintaining accurate records throughout your participation in the Program.

18.2 You must not engage in, support, or benefit from money laundering or illegal activities. CryptoCasino actively prevents any such involvement and may request documentation for verification purposes, including identity proofs (passport, utility bills, or bank statements) for individuals, and incorporation documents for corporations.

18.3 If we suspect any transactions involve illicit funds, CryptoCasino may be legally required to report this to authorities. In such cases, we may:

a) Suspend or terminate your participation in the Program.

b) Withhold any further commission payments.

c) Report you to relevant authorities if legally required.

18.4 CryptoCasino upholds a strict Anti-Bribery and Corruption. Accordingly, you must not engage in activities that violate this policy, including offering or accepting undue advantages to influence customer actions. Any breach may result in immediate termination of your participation.

19. Indemnification

19.1 You agree to defend, indemnify, and hold harmless CryptoCasino, its affiliates, successors, officers, employees, agents, directors, shareholders, and legal representatives from and against any claims liabilities, or expenses, including reasonable attorney and expert fees, which may arise from:

a) Any breach of your representations, warranties, or commitments under the Agreement.

b) Unauthorized use of the marketing materials or any actions taken under your Affiliate ID and account.

c) Defamatory, libelous, illegal, or infringing content included on your Affiliate Channels or any data you provide, including violations of third-party intellectual property rights or privacy rights.

19.2 CryptoCasino reserves the right to participate in the defence of any matter, at its own expense, where it deems necessary. Additionally, if any third-party claim or investigation arises due to your activities, CryptoCasino may withhold commissions or payments to cover related expenses or liabilities, in addition to other available remedies.

20. Disclaimer of Warranty

20.1 We make no express or implied warranties or guarantees regarding the Program, Marketing Materials, Program Portal, or any CryptoCasino website. This includes, but is not limited to, warranties of fitness for a particular purpose, merchantability, legality, non-infringement, or any implied warranties that might arise from business performance, practices, or trade usage. You acknowledge that participating in the Program and using the internet carries risks and that the Program is provided "as is" and "as available," without any guarantees of specific functionality or outcomes.

20.2 CryptoCasino will not be liable for any errors, inaccuracies, or omissions, nor for any damages or losses resulting from failures, delays, or interruptions of the CryptoCasino site or the Affiliate Program.

21. Limitation of Liability

21.1 Except for any liabilities that cannot legally be excluded, CryptoCasino’s total aggregate liability toward you or any third party, whether based on contract, tort, warranty, or other legal grounds, will not exceed the total commission generated by you over the twelve (12) months preceding the incident giving rise to liability. In no event will CryptoCasino be liable for any indirect, special, incidental, punitive, or consequential damages, including but not limited to losses in profits, revenue, business, or economic advantage.

22. Term and Termination

22.1 This Agreement can be terminated by either party with a thirty (30) day written notice to the other party via email. The Company reserves the right to terminate this Agreement immediately if the Affiliate breaches any terms, receives regulatory instruction, or if there are internal changes in services. In such cases, termination will take effect immediately.

22.2 Upon termination of this Agreement:

a) You must promptly remove all references to the CryptoCasino website from your marketing channels, cease using any Company trademarks, and return all Confidential Information in your possession.

b) All rights and licenses granted to you under this Agreement will end immediately.

c) You will be entitled only to unpaid commissions earned up to the termination date. The Company may withhold the final payment for up to ninety (90) days to verify the correct amount, and commissions will not accrue after termination.

d) If the termination is due to your breach, CryptoCasino reserves the right to withhold unpaid commissions to cover any related claims or

e) The confidentiality obligations outlined in this Agreement will survive termination, along with any other obligations explicitly intended to continue post-termination.

22.3 If your Affiliate account remains inactive for twelve (12) months, as defined by the absence of new FTDs, the Agreement may be terminated, and any remaining commission balance may be frozen. If no withdrawal request is made within twelve (12) months following inactivity, the terms outlined in the Unclaimed Commissions clause will apply.

23. Contact

23.1 Any notice or communication from CryptoCasino will be in writing and sent to the designated email address provided by the Affiliate at the time of registration. Notices will be effective upon sending and will be written in English. The Affiliate is responsible for ensuring that their contact information remains up to date.

24. Relationship of Parties

24.1 You and CryptoCasino are independent contractors. Nothing in these Terms establishes any partnership, joint venture, franchise, sales representative, agency, or employment relationship between us.

24.2 You have no authority to make claims, representations, or warranties on behalf of CryptoCasino, nor to bind us to any obligations, unless agreed to in writing by CryptoCasino.

24.3 You agree that you are not, nor will you be treated as, an employee of CryptoCasino with respect to any applicable local, state, or federal laws, including those related to tax, Social Security, unemployment, or any similar regulations.

25. Non-Solicitation

25.1 During your time in the Program and for twelve (12) months following any termination of your participation, you agree not to, directly or indirectly, solicit, recruit, or attempt to hire any person employed or contracted by CryptoCasino or any of its affiliated companies, if they were engaged with the Company during this period.

25.2 If you have any doubts about an individual’s engagement with CryptoCasino, you should contact us in writing before attempting any solicitation. Failing to verify the individual’s status does not exempt you from your obligations under this non-solicitation clause.

25.3 You acknowledge that any breach of this non-solicitation clause could cause significant harm to CryptoCasino, which may not be adequately addressed by monetary damages alone. Therefore, CryptoCasino has the right to seek injunctive relief from a competent court to prevent such solicitation, without limiting other legal remedies available.

  1. 26. Governing Law and Jurisdictions

26.1 This Agreement shall be governed by and interpreted in accordance with the laws of Curaçao. Any dispute or action arising from these Terms must be brought within the jurisdiction of Curaçao, and the Affiliate consents to this jurisdiction.

26.2 Any claims, disputes, or issues related to CryptoCasino websites will also be governed by Curaçao law, and any legal action regarding these websites must be filed in Curaçao, with the Affiliate consenting to the authority of Curaçao law courts.

  1. 27. Miscellaneous

27.1 CryptoCasino’s decision not to enforce strict adherence to any provision of these Terms does not waive our right to enforce that or any other provision in the future.

27.2 Neither party shall be liable to the other for any delay or failure to meet obligations under this Agreement if the delay or failure is due to a cause beyond their reasonable control, such as labour disputes, strikes, natural disasters, acts of terrorism, power or communication failures, or other significant disruptions. If a force majeure event lasts more than thirty (30) days, either party may terminate this Agreement without notice.

27.3 You agree that any breach or threatened breach of these Terms may not be adequately resolved by damages alone. In such cases, CryptoCasino may seek equitable remedies such as specific performance or injunction. Nothing in these Terms limits our rights to pursue other legal remedies for breaches or threatened breaches.

27.4 Each provision of these Terms will be interpreted to be effective and valid under applicable law. If any provision is found invalid, illegal, or unenforceable, that provision will be ineffective only to the extent of the invalidity, without affecting the remainder of the Terms.

27.5 These Terms constitute the entire agreement between you and CryptoCasino regarding the Program, replacing all previous agreements, whether verbal or written.
